1. Acceptance of Terms

By accessing or utilizing the Momentum operations engine, you agree to be legally bound by these Terms of Service. If you do not agree to every provision of these terms, you may not access or use the platform. These terms govern your use of the application, including the offline commerce clients, web dashboard, and underlying APIs.

2. License & Access

Momentum grants you a revocable, non-exclusive, non-transferable, limited license to access and use the platform strictly in accordance with these Terms. You shall not decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application or any integrated hardware drivers.

3. User Responsibilities

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify Momentum of any unauthorized use of your account or any other breach of security. You also agree that you will not use the service for any illegal or unauthorized purpose.

4. Subscription & Billing

Momentum charges a subscription fee per location, allowing for an unlimited number of devices and user accounts per location. Fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle. All payments are non-refundable, and we do not provide refunds or credits for partial service periods.

5. Intellectual Property

All intellectual property rights in the Momentum platform, including but not limited to software, algorithms, designs, text, graphics, and trademarks, are owned by Ltiora. Nothing in these Terms shall be construed as transferring any intellectual property rights to you or any third party.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Momentum and Ltiora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the service.
